I am currently seeking CORPORATE PARALEGAL candidates who are local to Essex County, OR could re-locate there for an On-Site Full-Time Permanent position within a dynamic, collegial in-house legal department. This position reports directly to the General Counsel. “Hybrid” is a possibility for an ideal candidate, but there are no guarantees. Easy commute from Parsippany, Newark, Morristown, West Orange.
REQUIRED: Seeking a solid corporate paralegal with at least 5 – 7 years of paralegal experience and 5+ years of hands-on work with M&A and typical Corporate Governance activities (books, records, filings, prepping for annual meetings, preparing materials, etc.). Must have technical proficiency: excellent computer skills, worked with MS Office including SharePoint and with legal research databases. Must have a strong work ethic, be willing to plunge right in, work autonomously and independently, yet know when to ask questions and use sound judgement. You should have experience working within a regulated/licensed industry and with various related regulatory boards. You should be able to multi-task and meet deadlines, have attention to detail and have a facility with reading/working with legal documents and reporting on them.
Being a New Jersey Notary Public is also required.
UNDER THE DIRECT SUPERVISION OF THE GENERAL COUNSEL you will assist with: corporate governance activities; assuring subsidiary compliance; maintaining/updating information in the legal database, and, working with/supporting/administering contract management systems; drafting and editing corporate governance documents; Annual Report filings, foreign qualifications, DBAs, as well assist in responding to due diligence requests. You will assist with the execution of complex multi-document transactions (M&A, integration, financing). You will prepare reports to the General Counsel on corporate entity status and compliance. You will support all administrative tasks necessary to manage the legal department, including but not limited to Invoice and Bill processing, filing and database management, archiving, and, contract repository management.
EDUCATION/CERTIFICATION/OTHER: a BA/BS or a paralegal certificate from an ABA-accredited entity, required.
PREFERRED: Experience working with CSC software for entity management. Experience with complex, multiple legal entity structures. Experience in highly-regulated industries such as medical device, biotech, and/or pharma/specialty pharma would be a PLUS.
